OTC derivative

An over-the-counter (OTC) derivative is a derivative that two parties trade outside of organized financial markets. In this case it is the parties themselves that have agreed upon the terms and conditions for the derivative.

Being a direct agreement between two parties, there is also a risk of that one of the parties fails to meet its commitments, i.e. a credit risk.
